1. ACCEPTANCE OF TERMS
This Agreement is a legally binding contract between Digital Thinking and Development Academy LLC (the "Academy") and any individual or entity (the "User") who accesses, purchases, or uses our digital courses, content, or platform (collectively, the "Services"). By clicking "Accept," "Purchase," or by accessing the Services, the User acknowledges they have read, understood, and agreed to be bound by every clause herein.

2. DIGITAL CONTENT AND INSTANT ACCESS
2.1. Nature of Product: The User acknowledges that the Services consist of digital content (mini-courses, videos, templates, and digital downloads).
2.2. Immediate Performance: The User explicitly agrees that by completing a purchase, the Academy provides immediate access to the digital content.
2.3. Strict No-Refund Policy: In accordance with international digital commerce standards, all sales are final. Once access is granted or the download link is provided, the transaction is considered consumed. No refunds, returns, or exchanges will be issued under any circumstances, including but not limited to:

User’s change of mind.

Inability to use the tools taught in the course.

Technical issues on the User’s side (e.g., slow internet, outdated software).

Dissatisfaction with the course level or style.

3. INTELLECTUAL PROPERTY AND USAGE RESTRICTIONS
3.1. Proprietary Rights: All materials provided within the Services are the sole intellectual property of the Academy. This includes video lectures, audio, text, graphics, proprietary frameworks, and software code.
3.2. Limited Personal License: Upon purchase, the User is granted a revocable, non-exclusive, non-transferable license for personal, non-commercial use only.
3.3. Prohibited Conduct: The User shall not:

Share account credentials or access links with third parties.

Screen-record, download (unless permitted), redistribute, or resell any portion of the content.

Use the Academy’s frameworks to create a competing educational product.
3.4. Anti-Piracy: The Academy utilizes digital watermarking and tracking. Any unauthorized distribution will result in immediate termination of access without refund and the pursuit of maximum legal damages.

4. USER ACCOUNTS AND DATA ACCURACY
4.1. Registration: Users must provide a valid email and phone number. The User is responsible for all activity occurring under their account.
4.2. Age Requirement: By using the Services, the User represents that they are at least 18 years old or have reached the age of majority in their jurisdiction.

5. PRIVACY AND DATA PROTECTION (GDPR & DPDP COMPLIANCE)
5.1. Data Collection: The Academy collects personal data (Name, Email, Contact Info, IP Address) for service delivery and security.
5.2. Marketing Consent: By providing contact details, the User expressly consents to receive direct marketing communications (newsletters, offers). Users may opt-out via the "Unsubscribe" link at any time.
5.3. Data Subject Rights: Users have the right to access, rectify, or request the deletion of their data. Requests must be sent to contact@digitalmindset.academy.
5.4. Third-Party Processors: We use secure third-party platforms (e.g., payment gateways, LMS hosting). We do not store full credit card numbers on our servers.

6. PAYMENT AND FINANCIAL TERMS
6.1. Currency and Taxes: Prices are listed in the specified currency. For international orders (e.g., India), the User is responsible for any local taxes, GST, or currency conversion fees imposed by their bank.
6.2. Chargebacks: The User agrees not to initiate fraudulent chargebacks. If a chargeback is initiated, the User’s access will be permanently revoked, and the Academy reserves the right to use this Agreement as evidence to dispute the claim.

7. LIMITATION OF LIABILITY AND DISCLAIMERS
7.1. "As-Is" Basis: The Services are provided without any warranties, express or implied. The Academy does not guarantee that the content will meet the User’s specific business needs or result in financial gain.
7.2. No Professional Advice: The content is for educational purposes only and does not constitute professional legal, financial, or medical advice.
7.3. Maximum Liability: To the fullest extent permitted by law, the Academy’s total liability for any claim shall not exceed the amount paid by the User for the specific course in question.

8. INDEMNIFICATION
The User agrees to indemnify and hold harmless the Academy, its directors, and employees from any claims, damages, or legal fees arising from the User’s breach of this Agreement or misuse of the Services.

9. TERMINATION OF ACCESS
The Academy reserves the right to terminate access to the Services immediately, without notice or refund, if the User violates any provision of these Terms, particularly those related to intellectual property theft or fraudulent payment.

10. FORCE MAJEURE
Neither party shall be liable for failure to perform obligations due to causes beyond their reasonable control, including but not limited to: internet outages, server failures, strikes, acts of God, or government restrictions.

11. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of Georgia. Any dispute that cannot be settled through good-faith negotiations shall be submitted to the exclusive jurisdiction of the courts in Tbilisi, Georgia.

12. MISCELLANEOUS
12.1. Severability: If any part of this Agreement is found invalid, the remaining sections shall remain in full force.
12.2. Entire Agreement: This document constitutes the entire agreement between the User and the Academy regarding the Services.
